1. Program Overview

The Alphaeon Referral Program (the "Program") is offered by Alphaeon Credit, Inc. ("Alphaeon," "we," "us"). These Terms and Conditions (the "Terms") govern your participation. By submitting a referral, you agree to these Terms.

How It Works

1. Refer a practice using the referral form on this page.
2. We reach out to the practice you referred.
3. They enroll with Alphaeon (see the definition of "Enroll" in Section 2).
4. You get rewarded as described in Section 4.

2. Definitions

Term	Meaning
Referrer / You	A current Alphaeon practice or provider who submits a referral under these Terms.
Referred Practice	The business entity (and its locations) you refer through the referral form.
Referral Date	The date Alphaeon receives a complete referral form for the Referred Practice.
Enroll / Enrollment	The Referred Practice (a) is approved by Alphaeon under its standard underwriting and onboarding criteria, and (b) completes Alphaeon's required merchant training. Enrollment is complete on the date both conditions are met.
Transaction Volume	The total dollar amount of approved, funded transactions processed through Alphaeon by the Referred Practice, net of refunds, cancellations, reversals, and chargebacks.
Transaction Window	The 30 days beginning on the Referred Practice's Enrollment date.
Reward	The Enrollment Reward and any Volume Reward described in Section 4.

3. Eligibility

3.1 Who Can Refer

The Program is open to any current Alphaeon practice or provider whose account is active and in good standing, as determined by Alphaeon. Participation is limited to businesses and their authorized representatives; the Program is not open to consumers or patients.

You may submit an unlimited number of referrals. However, you may not refer:

• yourself;
• a practice you own, co-own, or control, in whole or in part; or
• another location of your own multi-location business, or any affiliate under common ownership or control.

Alphaeon employees, contractors, and sales agents are not eligible to earn Rewards.

3.2 Eligible Referrals

A referral is eligible only if the Referred Practice:

• is new to Alphaeon, meaning it is not a current or former merchant, and is not already a lead or contact in Alphaeon's systems on the Referral Date; and
• Enrolls within 60 days after the Referral Date.

Alphaeon's records are final in determining whether a practice is new and whether and when it Enrolled. Alphaeon may decline to enroll any practice for any reason, and a declined practice is not an eligible referral.

4. Rewards

4.1 Enrollment Reward

If your eligible referral Enrolls within 60 days after the Referral Date, you earn a $100 gift card.

4.2 Volume Reward

If the Referred Practice's Transaction Volume during the Transaction Window meets a tier below, you also earn a gift card:

$2,500.00 – $5,000.00	$250 gift card
More than $5,000.00	$500 gift card

Only one Volume Reward tier applies per Referred Practice. Transaction Volume below $2,500.00 earns no Volume Reward.

4.3 Rewards Stack

The Enrollment Reward and Volume Reward are cumulative. Example: you refer a practice, it Enrolls within 60 days ($100), and it transacts $6,000 in its first 30 days ($500 gift card). You earn $600 in total.

4.4 Payout Timing

Alphaeon will issue each Reward within 30 days after the applicable criteria are met and verified. Gift cards are issued by a third-party provider and are subject to that provider's terms, including any expiration. Rewards are non-transferable, may not be exchanged for cash except as stated, and will not be replaced if lost or stolen after delivery.

4.5 Taxes

You are responsible for any taxes on Rewards. Alphaeon may request a Form W-9 or similar tax information before issuing a Reward and may issue a Form 1099 where required by law. Alphaeon may withhold Rewards until required tax information is provided.

5. Referred Practice Sweepstakes

Each Referred Practice is entered into a sweepstakes for a chance to win a $100 gift card, just for being referred. No purchase, enrollment, or transaction is necessary to enter or win, and enrollment does not increase the chance of winning.

The sweepstakes is governed by separate Official Rules, available in the Sweepstakes rules section on this page, which set out the entry period, eligibility, number of prizes, odds, drawing date, and winner notification. If these Terms and the Official Rules conflict, the Official Rules control for the sweepstakes. Void where prohibited.

6. Program Rules

6.1 Fair Play

Referrals must be made in good faith to practices you reasonably believe would benefit from Alphaeon. Referrals made through fraud, spam, unsolicited bulk messages, fake or duplicate identities, or false or misleading statements about Alphaeon will not qualify. You must comply with all applicable laws when referring, including anti-spam (CAN-SPAM, TCPA), privacy, and any healthcare laws that apply to you.

6.2 No Authority to Bind Alphaeon

You are not an agent, employee, partner, or representative of Alphaeon. You may not negotiate pricing, offer discounts, or make any promise, representation, or commitment on Alphaeon's behalf.

6.3 Duplicate Referrals

If more than one Referrer refers the same practice, only the first complete referral received by Alphaeon, as shown in Alphaeon's records, is eligible.

6.4 Disqualification and Reversal

Alphaeon may, in its sole discretion, disqualify any referral or Referrer, and withhold, cancel, or reverse any Reward (including by offset against amounts Alphaeon owes you), if Alphaeon believes a referral or Reward resulted from a breach of these Terms, fraud, error, or abuse, or if the Referred Practice's Transaction Volume is later reduced by refunds or chargebacks.

6.5 Changes and Termination

Alphaeon may modify, suspend, or end the Program, or these Terms, at any time without prior notice. The current Terms will always be posted on this page with the "Last Updated" date. Changes apply to referrals submitted after the change is posted.

7. Legal Terms

7.1 Publicity

By participating, you permit Alphaeon to use your name, your practice's name, and details about your referral for Program-related promotional purposes, without further compensation, except where prohibited by law.

7.2 Release

To the fullest extent permitted by law, you release Alphaeon and its affiliates, officers, directors, employees, and agents from any claims, losses, or damages arising from your participation in the Program or your receipt or use of any Reward.

7.3 Limitation of Liability

Alphaeon is not liable for lost, late, incomplete, or misdirected referrals; technical failures; or errors by third-party gift card providers. To the fullest extent permitted by law, Alphaeon will not be liable for any indirect, incidental, consequential, special, or punitive damages, and its total liability arising from the Program will not exceed the value of the Rewards you are owed.

7.4 Use of Alphaeon Trademarks

You may refer to Alphaeon by name when making a referral, but you may not use Alphaeon's logos, trademarks, or marketing materials, or create advertising, websites, or social media accounts that suggest affiliation with or endorsement by Alphaeon, without Alphaeon's prior written consent.

7.5 Privacy

By submitting a referral, you confirm you have a legitimate business reason to share the Referred Practice's contact information and that Alphaeon may contact the practice about its products and services. Information collected in the Program is handled under Alphaeon's Privacy Policy at https://go.alphaeoncredit.com/legal/consumer-financial-privacy-policy.

7.6 Relationship to Other Agreements

These Terms supplement, and do not modify, your existing merchant or provider agreement with Alphaeon. If they conflict regarding the Program, these Terms control.

7.7 Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Orange County, California. Void where prohibited or restricted by law.

Alphaeon Referral Sweepstakes Official Rules

NO PURCHASE, ENROLLMENT, OR TRANSACTION NECESSARY TO ENTER OR WIN. ENROLLING WITH ALPHAEON DOES NOT IMPROVE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED.

1. Sponsor

The Alphaeon Referral Sweepstakes (the "Sweepstakes") is sponsored by Alphaeon Credit, Inc., 4040 MacArthur Blvd., Ste. 260, Newport Beach, CA 92660 ("Sponsor").

2. Eligibility

The Sweepstakes is open only to employees of medical, dental, aesthetic, vision, audiology, or veterinary practices that:

• are legally organized and operating in the 50 United States or the District of Columbia;
• are referred through the Alphaeon Referral Program; and
• are not current or former Alphaeon merchants on the date of entry.

Each entry must be submitted by an authorized representative of the practice who is legally eligible to enter.

Not eligible: employees, officers, and directors of Sponsor, its affiliates, agencies, and prize suppliers, and their immediate family and household members. Practices prohibited by law, regulation, or their own policies from accepting gifts (including government-owned facilities) are also not eligible. Void where prohibited or restricted by law.

3. Entry Period

The Sweepstakes begins at 12:00:00 a.m. Central Time ("CT") on 10/01/2026 and ends at 11:59:59 p.m. CT on 11/30/2026 (the "Entry Period"). Sponsor's computer is the official timekeeping device.

4. How to Enter

An eligible employee is entered automatically once when Sponsor receives a complete, valid referral for it through the Alphaeon Referral Program during the Entry Period. The practice does not need to enroll with, transact with, or respond to Alphaeon to receive or keep its entry.

4.3 Entry Limits

Entries generated by script, bot, or other automated means, or that are incomplete, illegible, or fraudulent, are void. Sponsor is not responsible for lost, late, or misdirected entries.

5. Prize and Odds

1 prize will be awarded: one $100 electronic gift card. Approximate retail value ("ARV") of each prize is $100; total ARV of all prizes is $100. The prize is subject to the gift card issuer's terms. No cash alternative, substitution, or transfer, except Sponsor may substitute a prize of equal or greater value. Limit one prize per practice for the Sweepstakes.

Odds of winning depend on the number of eligible entries received.

6. Drawing and Winner Notification

On or about [drawing date], Sponsor will select the potential winner(s) at random from all eligible entries received. Sponsor's decisions are final.

Sponsor will notify each potential winner by email and/or phone using the contact information in the referral or entry. A potential winner must respond within 7 days and may be required to sign a declaration of eligibility and release, plus provide a Form W-9 where required. If a potential winner cannot be reached, does not respond in time, is ineligible, or does not comply with these Official Rules, the prize may be forfeited and an alternate winner selected. Prizes will be delivered within 30 days after winner verification. Any taxes on the prize are the winner's responsibility.

7. General Conditions

By entering, entrants agree to these Official Rules and Sponsor's decisions. Sponsor may disqualify any entrant who tampers with the Sweepstakes, acts fraudulently or disruptively, or violates these Official Rules. If fraud, a technical failure, or another cause beyond Sponsor's control corrupts the Sweepstakes, Sponsor may cancel, modify, or suspend it and award the prize from eligible entries received before the problem arose.

8. Release and Limitation of Liability

To the fullest extent permitted by law, entrants release Sponsor, its affiliates, and their officers, directors, employees, and agents (the "Released Parties") from any claims, losses, or damages arising from participation in the Sweepstakes or acceptance or use of a prize. The Released Parties are not responsible for technical failures, errors in entries or prize administration, or the acts of gift card issuers.

9. Publicity

Except where prohibited by law, acceptance of a prize permits Sponsor to use the winning practice's name, city, and state for promotional purposes without further compensation.

10. Privacy

Information collected in the Sweepstakes is used to administer it and is handled under Sponsor's Privacy Policy at https://go.alphaeoncredit.com/legal/consumer-financial-privacy-policy. Entering the Sweepstakes does not obligate a practice to receive marketing beyond what the law allows; the practice may opt out of marketing at any time.

11. Disputes and Governing Law

These Official Rules are governed by the laws of the State of California, without regard to conflict-of-law rules. Any dispute arising from the Sweepstakes will be resolved individually, without class action, in the state or federal courts located in Orange County, California. Remedies are limited to actual out-of-pocket costs of entering, not attorneys' fees.

12. Winners List

For the name of the winning practice(s), email marketingteam@alphaeon.com with the subject line "Referral Sweepstakes Winners" within 60 days after the end of the Entry Period.
